Terms of Service

1. Definitions

• “Customer Content” means any documents, files, images, data, or other materials you submit to the Services for analysis.
• “Output” means the scores, labels, verdicts, reports, extracted data, and explanatory text generated by the Services in response to Customer Content.
• “API Keys” means the authentication credentials issued by TamperCheck AI to enable programmatic access to the Services.
• “Order” means any separate written agreement, order form, or enterprise contract between you and Guni Innovations Pte. Ltd. that references these Terms.

2. The Services

TamperCheck AI provides automated analysis of documents you submit to detect tampering, fraud indicators, and related signals. Output may include scores, labels, and explanatory text. The Services are assistive tools - not legal, compliance, or investigative determinations on their own. You remain responsible for how you use the Output and for any decisions based on it.

3. Accounts and API keys

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for safeguarding API Keys, passwords, and session credentials. API Keys grant programmatic access to your account: treat them as secrets. Notify us promptly if you suspect compromise.

4. Customer Content and your obligations

You may upload documents that contain personal, financial, health, or other regulated data. You represent and warrant that:

• You have all rights and lawful bases necessary to submit Customer Content for processing;
• You will comply with applicable privacy and data protection laws (including, where relevant, obtaining consent and honoring data-subject requests);
• You will not use the Services to violate law, infringe rights, or process data you are not authorized to process; and
• You are responsible for your own data retention, access controls, and downstream use of Output.

Processing role. When you submit Customer Content via the API or dashboard, TamperCheck AI acts as a Processor (or equivalent under applicable law) on your instructions. You (or your organization) remain the Controller of that Customer Content. Our processing is limited to producing and delivering the analysis result and is described further in our Privacy Policy.

AI and OCR subprocessors. You acknowledge and authorize that Customer Content may be transmitted to third-party AI inference and OCR providers solely to process your analysis request and deliver results. These providers operate under contract and are not permitted to retain or use Customer Content for their own purposes.

5. Acceptable use

You agree not to:

• Probe, scan, or test the vulnerability of the Services without authorization;
• Attempt to access data or accounts that are not yours;
• Circumvent rate limits, billing, or technical restrictions, or overload the Services;
• Upload malware, unlawful content, or content intended to harm others or systems;
• Resell or redistribute the Services in a way that misrepresents TamperCheck AI or violates law;
• Systematically extract Output to build a competing service; or
• Use the Output to harass, discriminate, or defraud.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other customers.

6. Fees, credits, and payment

Paid features, per-document fees, prepaid balances, and promotional credits are described on our pricing page and in checkout flows. Fees are exclusive of taxes unless stated otherwise. Failure to pay may result in suspension. Unless required by law, prepaid balances and promotional credits may be non-refundable.

7. Third parties and AI inference

The Services rely on identity providers, payment processors, hosting providers, and one or more third-party AI inference providers. Their terms and policies may apply to you in addition to these Terms.

TamperCheck AI runs AI inference on TamperCheck AI-managed infrastructure. We may update the providers we use from time to time. Customer Content transmitted to such providers is processed solely to fulfill your analysis request.

8. Intellectual property

TamperCheck AI and its licensors retain all rights in the Services, software, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. You retain your rights in Customer Content; you grant us permission to process it solely to provide the Services.

You retain ownership of Output generated from your Customer Content, subject to any rights TamperCheck AI has in its underlying models, algorithms, and service infrastructure.

9. Confidentiality

Each party agrees to protect the other party's confidential information using at least the same degree of care it uses for its own (and no less than reasonable care). Confidential information does not include information that is publicly available, already known to the receiving party, independently developed, or lawfully received from a third party without restriction.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ANALYSIS MAY PRODUCE FALSE POSITIVES OR FALSE NEGATIVES; YOU ARE RESPONSIBLE FOR VALIDATING RESULTS IN YOUR CONTEXT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAMPERCHECK AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TAMPERCHECK AI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100), EXCEPT WHERE PROHIBITED BY LAW.

12. Indemnity

You will defend and indemnify TamperCheck AI against third-party claims, damages, and costs (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your Customer Content or data; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party right (including privacy rights of individuals whose data is contained in Customer Content).

13. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, non-payment, or as required by law. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, confidentiality, and governing law) will survive termination.

14. Export controls and government use

The Services may be subject to export control and economic sanctions laws. You agree to comply with all such laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any embargoed country, nor are you on any sanctioned party list.

If you are a government entity or acting on behalf of a government, the Services and related documentation are provided as “commercial items” or “commercial computer software” under applicable acquisition regulations. Your rights are limited to those granted to all other end users pursuant to these Terms.

15. General provisions

Force majeure. Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, acts of government, internet disruptions, or third-party service outages.

Severability. If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. Failure to exercise a right or enforce a provision does not waive that right or provision.

Entire agreement. These Terms (together with any applicable Order and our Privacy Policy) constitute the entire agreement between you and Guni Innovations Pte. Ltd. regarding the Services. In the event of conflict, the order of precedence is: (1) a signed Order or Data Processing Agreement; (2) these Terms; (3) the Privacy Policy.

Assignment. You may not assign these Terms without our prior written consent. Guni Innovations Pte. Ltd. may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. The courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where prohibited by applicable law.

Before initiating formal proceedings, each party agrees to attempt in good faith to resolve any dispute informally by contacting the other party. For enterprise or government customers, we may specify a different dispute-resolution forum or governing law in a separate written agreement.

17. Changes

We may modify these Terms by posting an updated version. If a change is material, we will provide additional notice (e.g. by email or in-product notification). Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.
